What did Affle buy?

Affle is buying all of Perion, an advertising technology company. Brands, agencies and retailers use Perion to buy and optimise ads across connected TV, digital billboards, in-store retail media, social media, search and websites.

Perion's product is called Perion One. Inside it is an AI agent called Outmax, which adjusts ad spend in real time to hit the goals the advertiser sets. In the third quarter Perion spent $10.9 million to buy PRN, an in-store retail media business, according to the release.

After closing, Perion will run as a wholly-owned subsidiary of Affle under its own brand. Its shares will be removed from the Nasdaq and the Tel Aviv Stock Exchange. The release gives no revenue figure for Perion, and we do not add one.

What is Affle paying, and how?

Perion shareholders will receive $11.70 in cash per share. The release puts the equity value at about $420 million. That is a 34.5% premium to Perion's closing price on 30 October 2026, the last trading day before the agreement was signed.

Equity value is the price of the shares only. It is not the same as enterprise value, which adds debt and subtracts cash. The release does not state an enterprise value, so we do not give one. It does say Perion held $228.3 million in cash, deposits and marketable securities at 30 September 2026. That is more than half the equity price.

Citibank, N.A. is providing debt financing, and the deal has no financing condition. In plain words, Affle cannot walk away because its loan falls through. Perion's Board approved the agreement unanimously.

The advisors are named. Canaccord Genuity is Perion's exclusive financial advisor, and Meitar Law Offices is its legal counsel. LUMA Partners advises Affle on the financial side, and Barnea Jaffa Lande & Co. is Affle's legal counsel.

What is the go-shop?

A go-shop clause lets the seller look for a better offer after it has signed. Perion's runs for 40 days and ends at 11:59 PM Israel time on 11 December 2026. During that time Perion and its financial advisor may actively ask other parties for higher bids.

The release says there is no promise this will produce a better offer. Perion also says it will not report on the go-shop unless it decides to or the law requires it. The release refers to a possible termination fee but does not give the amount.

For a small-business seller, the lesson is simple. A signed deal is not the end of price discovery unless your agreement says it is. Most private deals use the opposite clause, a no-shop, which stops the seller from talking to other buyers. Our guide to a competitive sale process explains how sellers create that tension before they sign.

Why does Perion fit Affle's plan?

Affle's strength is mobile advertising. Perion adds channels Affle is weaker in. Anuj Khanna Sohum, Chairperson, Managing Director and CEO of Affle, pointed to Perion's "established presence across Retail Media, CTV, DOOH and other digital channels".

He described the deal as joining complementary technology and growing Affle's business in developed markets. He also tied it to what Affle calls its 10X decadal growth vision.

Tal Jacobson, CEO of Perion, said the company had changed over several years into a differentiated adtech business. He highlighted Perion One and the Outmax AI agent. Eyal Kaplan, Perion's Chairman, said the deal offers "greater financial certainty" for shareholders.

Read together, this is a reach deal. The buyer wants more channels and more markets in one step, and pays cash to get them.

What does it mean for buyers of agencies and small adtech firms?

You are not buying a listed company with Citibank money. But three ideas from this deal carry down to marketing businesses in the $500K to $50M revenue range.

Channel mix is what gets bought. Affle wanted the channels it lacked. If you are buying an agency, map which channels the revenue comes from. An agency tied to one ad platform carries more risk than one spread across several.

AI that runs the work is part of the price. Perion's pitch centres on an AI agent that optimises spend without a person adjusting every campaign. At small scale, an agency where AI agents handle reporting, bid changes and first drafts needs fewer hours per client, and the margin shows it. Many buyers find this is the fastest gain after a purchase.

Cash on the balance sheet counts. Perion's cash was a large share of its price. In a private deal, cash usually stays with the seller, and the buyer agrees a working capital peg. Ask early how cash will be treated.

What should you watch?

The go-shop deadline. If a higher bid comes in before 11 December 2026, the price could change. If none does, the $11.70 offer stands.

The shareholder vote. Perion's shareholders must approve the merger. The proxy materials should give more detail on how the Board reached the price.

Antitrust review. The deal needs the waiting period under the Hart-Scott-Rodino Act to expire or end. The release names no other regulator.

The close. The parties expect the deal to close in early 2027. Until then, Perion runs as a separate public company.

Questions people ask

How much is Affle paying for Perion?

Affle is paying $11.70 in cash per Perion share. The release puts the equity value at about $420 million, a 34.5% premium to Perion's closing price on 30 October 2026. No enterprise value is disclosed.

Is the Affle and Perion deal cash or stock?

It is an all-cash merger. Perion shareholders receive cash, not Affle shares. Citibank, N.A. is providing debt financing, and the deal has no financing condition.

What is the go-shop in the Perion deal?

It is a 40-day period in which Perion may actively look for a better offer. It ends at 11:59 PM Israel time on 11 December 2026. Perion says there is no promise a better offer will come.

When will Affle's acquisition of Perion close?

The companies expect it to close in early 2027. Closing needs Perion shareholder approval, the end of the Hart-Scott-Rodino waiting period, and other conditions. Perion shares will then be delisted from Nasdaq and the Tel Aviv Stock Exchange.

Why does this deal matter to a buyer of a small marketing agency?

It shows what a buyer pays for: a wider channel mix, AI that runs the media work, and a clean balance sheet. A small buyer can check a target agency for the same three things before making an offer.
