What Five9 bought

Five9 sells cloud software that runs contact centers. Its product is called the Genius CX Platform. Level AI makes AI tools that sit on top of a contact center.

The release lists what Level AI does. It has AI agents, help for human agents during live calls, quality checks, coaching, and "Voice of the Customer" reports. All of these run on one layer that reads customer conversations. Level AI runs on its own family of AI models, called Level AI Latitude. These models are built for customer conversations. Five9 says they cost less and respond faster than frontier models, and give firms direct control over data privacy.

Level AI handles more than one billion customer interactions a year, according to the release. Named customers include Gusto, Chime, Empyrean and VistaPrint. The founder and CEO is Ashish Nagar, a former product leader on Amazon Alexa. Backers named in the release include Adams Street Partners, Battery Ventures and Eniac Ventures.

The release gives no revenue figure for Level AI. We do not add one.

What Five9 paid and how

The deal values Level AI at about $325 million. Five9 will pay in cash from its own balance sheet. No stock and no new debt are mentioned.

Five9's board approved the deal unanimously. The release says it is expected to close in 2026, once "certain closing conditions" are met. It does not list those conditions, and it does not name any regulator.

That is all that is disclosed. The release does not say whether any part of the price is held back, paid later, or tied to future results. We will not guess. If later filings show an earn-out or retention pay for the team, that would change how the price should be read.

Centerview Partners is Five9's financial advisor. Sidley Austin is its legal advisor, and Joele Frank handles communications. The release does not name Level AI's advisors.

Why it fits Five9's plan

Five9 gives three reasons in its own words. The first is AI capability. CEO Amit Mathradas said the future is one where "AI and human agents work as a coordinated system". He said Level AI adds more AI tools and "experienced AI-native builders" to the team.

The second reason is new customers. Many large firms want AI now but still run their contact center on their own servers. Mathradas said Level AI gives Five9 a way to reach them. They can buy Level AI's tools on their own, without first moving to the Five9 platform. Firms on other cloud platforms can do the same.

The third reason is fit. The two companies have worked together since 2022. Level AI's apps were already sold through the Five9 CX Marketplace and linked to the Five9 platform. Five9 now plans to offer them to its more than 4,000 customers.

Ashish Nagar said joining Five9 brings Level AI's models to "thousands more contact centers around the world". He also said Level AI will keep supporting its current customers.

What it means for buyers of small B2B service businesses

You are not Five9. But this deal shows three things that matter in the $500K to $50M revenue range most of our clients look at.

Your best buyer may already be your partner. Five9 and Level AI worked side by side for four years before this deal. The buyer knew the product, the team and the customers. Many owners find the same thing at a small scale. A supplier, a reseller or a firm you share clients with often values your business more than a stranger does. Our guide on strategic vs financial buyers explains why.

AI that handles customer conversations is now worth paying for. A public company just paid cash for software that answers, sorts and scores customer calls. For a small business, the lesson is practical. A call center, an answering service or a home services firm with a busy phone line can use AI agents for first replies, call notes and quality checks. That can mean fewer hours per customer and a better margin. This is the core idea of an AI-powered roll-up: buy several similar businesses and run the same AI tools across all of them.

Selling "on top of" what customers already use widens the market. Level AI's tools do not force a customer to switch systems. That made it easier to sell. A small IT or managed services firm that adds AI on top of a client's current phone system can win work a rip-and-replace offer would lose. If you buy or sell in that space, see who is buying MSP businesses.

What you cannot copy is the cheque. Five9 paid cash from its own balance sheet. Most first-time buyers we work with combine an SBA loan, a seller note and investor money, and buy one private company at a time. What to watch

Watch the close. Five9 expects it in 2026, which leaves only weeks. A delay would point to a closing condition the release does not name.

Watch the filings. Five9 is a public company. Its next quarterly or annual report may show how the price is split between goodwill, software and other assets. Our glossary on purchase price allocation explains how that works.

Watch the standalone product. Five9 says Level AI's tools will be sold both on their own and inside its platform. If that holds, firms on rival platforms can keep buying Level AI. If not, contact centers that rely on it will need a plan.

Watch the team. The release stresses the people as much as the software. Whether the founders and engineers stay will show how much of the $325 million was really paid for talent.
