What did Rentokil buy?

Rentokil bought Terminix, one of the best-known pest control brands in the United States. The announcement says Terminix had 2020 revenue of $1.96 billion, of which about $1.9 billion was pest control. It served 2.9 million customers with over 11,400 teammates. More than 95% of its revenue came from the US.

Before closing, Terminix sold its UK business. Rentokil had promised the UK Competition and Markets Authority it would do so, and the announcement says the sale had to happen before completion. Rentokil's completion release names the new group "the leading global pest control company", with about 4.9 million customers and 57,700 employees.

What did Rentokil pay, and how?

The headline was $55.00 per Terminix share, about $6.7 billion in total. That was a 47.0% premium to the share price the day before. About 80% was paid in new Rentokil shares and 20% in cash.

Each Terminix holder could choose. The completion release sets out two elections: $34.57 in cash plus 0.1447 Rentokil ADSs per share, or 1.4899 ADSs per share. At closing, Rentokil's own filing shows it paid about $1.34 billion in cash and issued 645,706,920 new shares. Terminix holders ended up owning about 26% of the combined company.

Rentokil lined up a bridge loan of up to $2.7 billion with Barclays. The announcement says it would pay the cash part, refinance Terminix's debt and cover fees, and would later be replaced with longer-term debt.

Terminix shareholders approved the deal on 6 October 2022, per Terminix's own press release filed with the SEC. It closed six days later.

Why did Rentokil want Terminix?

Rentokil wanted North America. The announcement calls it the world's largest pest control market, about 51% of the global total and an estimated $11 billion. It also calls the market "highly competitive and fragmented", with over 20,000 pest control companies.

After the deal, about 60% of the group's revenue would come from North America. Andy Ransom, Rentokil's chief executive, called it "an exciting and transformational combination". Brett Ponton, Terminix's chief executive, said it advanced Terminix's goal of global leadership.

The money case was cost savings. Rentokil promised at least $150 million a year of pre-tax net cost savings by the end of the third full year, with about $150 million of one-off costs to get there. Most of the savings were to come from putting two branch networks and back offices together.

What has happened since the deal closed?

Integration has taken years. In its 2024 half-year results, Rentokil said it had delivered $162 million gross and $105 million net cost savings to date. It also said it planned to cut the network from more than 600 branches to about 400. Each branch merge took about ten months from planning to new routes.

North America growth was thin. The same report shows North America organic revenue up only 1.3% in the first half of 2024. In its 2025 results of 5 March 2026, Rentokil reported North America revenue of $4,294 million, up 3.1%. It now plans "around 800 branches by the end of 2026", including about 220 small local ones.

Rentokil still buys small firms. In 2025 it bought 36 businesses with about $63 million of revenue for $115 million, 12 of them in North America. It expects to spend around $200 million on acquisitions in 2026.

What does this mean for a small pest control buyer or seller?

You are not Rentokil, and you will not pay in your own listed shares. But three lessons carry down to a business with $500K to $50M in revenue.

Routes are the asset, and merging them is the hard part. Rentokil's savings case rested on combining branches. Its own reports show that took years. If you buy a competitor in your town, plan the route merge before closing. Budget for customers who leave when their technician changes.

Recurring plans are what get paid for. Terminix's value was its 2.9 million customers, most of them on repeat service. A small seller with a clean count of active plans and a known cancellation rate is easier to price. See how to sell a pest control business.

Local brands can be worth keeping. Rentokil's newer plan keeps about 220 small local branches. Many buyers now keep the seller's name and team. Ask any buyer what happens to your brand before you sign.

A first-time buyer pays with an SBA loan, a seller note and investor money. The structure is different; the logic is the same. Start at /buy, or read our hub on buying or selling a pest control business. Talk to a CPA before you take shares in a buyer instead of cash; the tax is not the same.

What should you watch next?

Watch Rentokil's branch plan. The goal of about 800 branches by the end of 2026 will show whether the merge is done.

Watch its buying. A $200 million budget for 2026 means more small pest control firms in North America will get a call. If you own one, know your numbers before you take it. For who else is buying, see who is buying pest control businesses.
