The Hook
SCREEN: Black → white text fades in: "$15,000,000 → $1,000,000,000"

Right now, I'm in the middle of acquiring a fifteen million dollar AI SaaS company — merging it with my own company Mascot.ai — and taking the combined entity public on NASDAQ.

Zero money down. Investors fund the US listing. And I've structured a performance equity deal modeled on the same framework Elon Musk used at Tesla in 2018 — where I earn up to 20% of the company, but only if I grow it.

I'm going to show you the actual data room, the real P&L, the signed agreements, the merger strategy, and the exact path from $15 million to a billion dollars.

This is not a theory. This is a live deal. Company names are confidential — but the numbers, the structure, and the strategy? That's all here.

What I Found
SCREEN: Overlay — "The Target: AI Video SaaS Platform"

It's an AI-powered video creation platform. Think enterprise-grade — the kind of tool that competes directly with Synthesia and HeyGen. Synthesia just raised at a $4 billion valuation in January 2026. HeyGen is valued at over $500 million.

This company I'm targeting? Same category. Same customers. But it's doing $14-15 million in revenue and it's not on anyone's radar yet.

The Real P&L

Revenue: approximately $14 million trailing. But here's the story inside the story — the mix shift. A few years ago this was mostly a consumer product. Today, B2B enterprise is 57% of revenue and accelerating. That flip happened organically — with zero dedicated outbound sales team.

How I Structured This Without Writing a Check

You don't buy the company outright. You acquire it through value creation. I'm coming in as the strategic growth advisor and M&A lead — I'm the one sourcing the deal, structuring the listing, bringing the investors, and driving the growth strategy. My firm runs this process.

My Role — Advisor to CEO

8:30 — 11:30 | The Growth Advisor Play
From Strategic Advisor to Potential CEO

I come in as the Strategic Growth Advisor. I'm running the deal. I found this company, structured the listing, brought in the listing partners, and I'm driving the M&A and growth strategy post-IPO.

Why advisor and not CEO right away? Because I'm building a portfolio. I can do multiple deals like this simultaneously. I start as advisor, I direct the growth capital, I run the M&A pipeline — and if I see massive potential, if this becomes the one, I have the option to step into the CEO seat.

From the Agreement
"Should current owners decide to transition out of operational leadership, Moran may step into a senior executive or CEO role subject to mutual agreement."

Growth Initiative Capital

5–10% of net IPO proceeds set aside as a pool I direct — for bolt-on acquisitions, new revenue channels, and vertical expansion. IPO raises $10M? I'm deploying $500K to $1M into growth plays.

The Mascot.ai Merger — The Multiplier

11:30 — 14:00 | The Merger Play
Create + Distribute + Engage

I'm not just advising this company in isolation. I'm considering merging it with my own company — Mascot.ai.

Mascot.ai is an organic multi-channel content distribution platform powered by AI agents. Think Sora meets TikTok meets Claude with a face — on-brand video creation across every channel, with AI agents on the backend handling distribution, engagement, and conversion.

The Target Platform

  • Enterprise AI video creation
  • Synthesia / HeyGen competitor
  • 50M+ users, 850+ enterprise accounts
  • 86% gross margins
  • Gap: No distribution engine
+

Mascot.ai

  • Organic multi-channel distribution
  • TikTok, YouTube, Instagram — on-brand AI content
  • AI agents (Claude with a face)
  • Backend automation + engagement
  • Gap: No enterprise creation engine
Combined = Full-Stack AI Content Platform
Create → Distribute → Engage
Nobody else does this. Not Synthesia. Not HeyGen. Not Canva. They all stop at creation. We go from creation through distribution through engagement. Synthesia raised at $4 billion doing JUST creation. Imagine the valuation for a company that does all three.

The Elon Musk Comparison

14:00 — 15:30 | Tesla 2018 CEO Performance Award
Same Framework, Different Scale

This is the exact framework Elon Musk used at Tesla in 2018. 12 tranches of stock options, each = 1% of outstanding shares. Market cap milestones from $100B to $650B, gated by revenue and EBITDA targets.

When Musk signed this, Tesla was worth $59 billion. People called him insane. Every single tranche vested. The package ended up worth over $50 billion. Same incentive DNA — pure alignment between operator and shareholders.

The Comparables

Why $1B Is Realistic

The target sits right in Synthesia's category with similar margins and enterprise customers. With the Mascot.ai merger creating the only full-stack AI content + distribution platform? The multiple expands dramatically. Scale B2B ARR from $7M to $50M — that's $500M to $1B at a category-appropriate multiple.

Why Investors Are Funding This

17:00 — 18:00 | The Investor Angle
Pre-IPO Entry Into a Profitable AI SaaS Company

I'm not funding this out of pocket. Investors fund the US listing. Here's what they get:

  • ✓ US-listed equity in a profitable AI SaaS company
  • ✓ 86% gross margins — SaaS best-in-class
  • ✓ $7.2M B2B ARR with 108%+ net revenue retention
  • ✓ Fortune 500 customer base
  • ✓ Direct competitor to Synthesia ($4B) and HeyGen ($500M+)
  • ✓ Mascot.ai merger = unique full-stack AI content platform
  • ✓ Tesla-style performance alignment — advisor only earns if company grows
  • ✓ Pre-IPO entry → NASDAQ liquidity in 6-7 months

That's not a hard pitch. That pitches itself.

The Recap

18:00 — 19:30 | Summary + CTA
How You Acquire a Business Without Capital

You don't buy it — you earn it. You find an undervalued company in a billion-dollar category, you bring the strategy, you bring the listing infrastructure, you bring a merger that 10x's the opportunity — and you structure your comp so that everyone wins together or nobody wins.

I start as the advisor. I have the option to step into CEO if this becomes the one. But either way — the deal is structured so that I only get paid when I create real, measurable value.
